Terms of Service

1. Acceptance of terms

By using TextForKeeps ("the Service"), operated by GatherMemo LLC, a Michigan limited liability company, you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

TextForKeeps is an SMS-based platform that enables organizers to send prompted questions to participants and collect photo, video, and text responses. Collected content is delivered to the organizer's designated cloud storage and may be compiled into a video montage.

3. Organizer responsibilities

• Only share the TextForKeeps event join link with individuals you wish to invite to participate
• Comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA)
• Not use the Service to send spam, illegal content, or harassing messages
• Ensure participants are informed that message and data rates may apply
• Take full responsibility for the events you create and the participants you invite

4. Participant opt-in and opt-out

Participants opt in to receive SMS prompts by visiting the TextForKeeps event join page, entering their name and phone number, and checking a consent checkbox confirming they agree to receive messages. Checking the box is the opt-in: participants then receive a confirmation SMS and begin receiving event prompts. After the event, participants may receive up to two reminder texts while uploads remain open (two days). No reply is needed to join. Participants may opt out at any time by replying STOP to any message. TextForKeeps will immediately cease sending messages to any number that opts out. Message frequency varies by event. Message and data rates may apply. Reply HELP for help, or contact us at info@textforkeeps.com. Carriers are not liable for any delayed or undelivered messages.

5. Scavenger hunt events

This section applies to TextForKeeps scavenger hunt events. Where it differs from Section 4, this section controls for scavenger hunts.

Program. TextForKeeps scavenger hunt texts are sent by GatherMemo LLC dba TextForKeeps to participants in TextForKeeps scavenger hunt events.

Who can join. You must be 18 or older to sign up for text messages for a scavenger hunt. Minors may take part on a team, but a parent or guardian must sign up for them. You may only enter your own mobile number.

How you sign up. You join a team on that team's sign-up page by choosing a role, entering your name and mobile number, and checking a box to agree to receive texts. You'll get one confirmation text right away. No reply is needed to activate your signup.

Team Captain texts. Captains receive recurring texts during the event, including mission clues and event updates, plus the team video afterward. Message frequency varies. Each team has one captain. If another team member becomes captain, the previous captain stops receiving event texts and will still receive the team video.

Discount texts. Captains who check the separate discount box also receive texts about discounts offered by participating local businesses that are valid during the event. Each business sets and honors its own offer. We do not share your phone number or information about you with participating businesses.

Team Member texts. Members receive 1-2 texts after the event with their team's video.

Rates, help, and opting out. Message and data rates may apply. Reply HELP for help. Reply STOP to opt out of all texts at any time. You can also contact us at info@textforkeeps.com. Carriers are not liable for delayed or undelivered messages.

Photos and video. Photos and video your team submits are used to create your team's video. If you check the photo release box, TextForKeeps may also share them, including images of you and minors you are responsible for, on social media and textforkeeps.com. You can ask us to remove a shared photo at any time by emailing info@textforkeeps.com.

6. Your responsibilities and conduct

You are responsible for your own conduct while using the Service and while taking part in any event, including your own safety and the safety of any minors in your care. When you take part in an event, you agree to:

• Use good judgment and never put yourself or anyone else in danger
• Obey all laws, including traffic laws, and never use your phone while driving or cycling
• Stay out of private property, closed areas and places that are not open to you. A prompt, mission or clue is never permission to enter a place or to do anything unlawful
• Skip any prompt or mission that seems unsafe. Prompts and missions are always optional
• Treat other participants, the public, businesses and property with respect, and accept it when someone you approach says no
• Not touch artwork, displays or merchandise unless you are invited to
• If you choose to drink alcohol, be of legal drinking age (21 in the U.S.) and drink responsibly. TextForKeeps does not provide or serve alcohol
• Supervise any minors in your care at all times

When you submit content through TextForKeeps, you represent and warrant that you have the right to submit it, including permission from people who appear in it; that it does not violate any law or infringe anyone's intellectual property, privacy or other rights; and that no law was broken to capture or create it.

7. Prohibited uses

You may not use the Service to:

• Send unsolicited commercial messages
• Collect content from minors without verifiable parental consent
• Submit or transmit content that is illegal, hateful, violent, sexually explicit, harassing, threatening, abusive or obscene
• Violate any applicable local, state, federal or international law
• Impersonate any person or entity, or use another person's phone number, upload link or account
• Use bots, scrapers or other automated means to access the Service, or interfere with how it works

8. Events and activities at your own risk

Events such as scavenger hunts take place in the real world, often outdoors and in public places. They can involve walking, sometimes after dark, near traffic, on uneven surfaces and in changing weather. Your participation in any event, and in any prompt, mission or activity, is voluntary and at your own risk.

GatherMemo LLC does not supervise participants and does not guarantee the safety, suitability or legality of any place or activity connected with an event. You are solely responsible for your conduct during an event, for the content you submit, and for any injury, loss or damage that results to you or to others. To the maximum extent permitted by law, GatherMemo LLC is not liable for any injury, loss or damage of any kind arising from your participation in an event or from your conduct during it.

9. Your content

You keep ownership of the content you submit. By submitting content, you grant GatherMemo LLC a non-exclusive, royalty-free, worldwide license to store, copy, process, edit and compile it in order to provide the Service, including creating and delivering event videos to the event's organizer and participants. You also grant the event's organizer a license to use the content for personal, non-commercial purposes. Content is shared beyond the event only as described in Section 5 (for example, when a team has checked the photo release box). GatherMemo LLC does not claim ownership of any submitted content.

We do not have to review or monitor content, but we may do so, including with automated tools, and we may exclude or remove any content from a video or from the Service at our discretion. GatherMemo LLC is not responsible for content submitted by participants.

10. Our content

The Service, including the TextForKeeps name and logo, website, pages, video templates, designs and software, belongs to GatherMemo LLC and is protected by intellectual property laws. You may not copy, modify or distribute it except as needed to use the Service, and you may not remove any copyright or other notices.

11. Third-party services and businesses

The Service relies on and may link to services operated by others, such as messaging carriers and cloud storage providers. Events may also include offers or locations from independent local businesses. Those businesses set and honor their own offers and are responsible for their own premises, products, services and staff. GatherMemo LLC is not responsible for third-party services, websites, businesses or their content, and your dealings with them are solely between you and them.

12. Suspension and changes to the Service

We may remove a participant or team from an event, or suspend or end anyone's access to the Service, at any time, including for unsafe, unlawful or disrespectful behavior or for violating these Terms. We may change, suspend or discontinue any part of the Service at any time.

13. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, GatherMemo LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be reliable, secure, error-free or uninterrupted, or that messages or videos will be delivered. Your use of the Service is at your own risk.

14. Limitation of liability

To the maximum extent permitted by law, GatherMemo LLC and its members, officers, employees, agents and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, content, profits or goodwill, arising from or related to your use of the Service or your participation in any event, including damages arising from content submitted by participants or actions taken while capturing content, however caused and even if we were told such damages were possible.

To the maximum extent permitted by law, our total liability for all claims arising from or related to the Service or any event is limited to the greater of fifty U.S. dollars ($50) or the amount you paid to GatherMemo LLC for the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify and hold harmless GatherMemo LLC and its members, officers, employees and agents from any claims, damages, losses or expenses (including reasonable legal fees) arising from your use of the Service, your participation in any event, your content, your violation of these Terms, or your violation of any law or any third party's rights. We may assume the exclusive defense of any matter you are required to indemnify us for, and you agree to cooperate with our defense.

16. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Michigan.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and GatherMemo LLC about the Service. You may not transfer your rights under these Terms without our consent; we may transfer ours.

18. Changes to terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
