Terms of Service

1. Acceptance of terms
By using TextForKeeps ("the Service"), operated by GatherMemo LLC, a Michigan limited liability company, you agree to these Terms of Service. If you do not agree, do not use the Service.
2. Description of service
TextForKeeps is an SMS-based platform that enables organizers to send prompted questions to participants and collect photo, video, and text responses. Collected content is delivered to the organizer's designated cloud storage and may be compiled into a video montage.
3. Organizer responsibilities
- Only share the TextForKeeps event join link with individuals you wish to invite to participate
- Comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA)
- Not use the Service to send spam, illegal content, or harassing messages
- Ensure participants are informed that message and data rates may apply
- Take full responsibility for the events you create and the participants you invite
4. Participant opt-in and opt-out
Participants opt in to receive SMS prompts by visiting the TextForKeeps event join page, entering their name and phone number, and checking a consent checkbox confirming they agree to receive messages. Participants then receive a confirmation SMS and must reply YES before any event prompts are sent. Participants may opt out at any time by replying STOP to any message. TextForKeeps will immediately cease sending messages to any number that opts out. Carriers are not liable for any delayed or undelivered messages.
5. Content and conduct
Participants who submit content via TextForKeeps represent and warrant that:
- They have the right to submit the content
- The content does not violate any applicable laws
- The content does not infringe on any third party's intellectual property, privacy, or other rights
- No laws were violated in the capture or creation of the submitted content
GatherMemo LLC is not responsible for any illegal actions taken or harm caused in connection with capturing or submitting content. Participants assume full responsibility for their submissions.
6. Prohibited uses
- Send unsolicited commercial messages
- Collect content from minors without verifiable parental consent
- Transmit illegal, harmful, threatening, abusive, or obscene content
- Violate any applicable local, state, federal, or international law
- Impersonate any person or entity
7. Intellectual property
Organizers retain ownership of the events they create. Participants retain ownership of the content they submit. By submitting content, participants grant the organizer a license to use the content for personal, non-commercial purposes including the creation of video montages. GatherMemo LLC does not claim ownership of any submitted content.
8. Disclaimer of warranties
The Service is provided "as is" without warranty of any kind. GatherMemo LLC makes no warranties, express or implied, regarding the reliability, availability, or fitness of the Service for any particular purpose.
9. Limitation of liability
To the maximum extent permitted by law, GatherMemo LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages arising from content submitted by participants, actions taken while capturing content, or loss of data.
10. Indemnification
You agree to indemnify and hold harmless GatherMemo LLC and its members, officers, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
11. Governing law
These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Michigan.
12. Changes to terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
